Your Use of Our Web Site

Unless specified otherwise, your use of this Web Site is governed by this Terms and Conditions of Use Agreement and the pepfides.com Privacy Policy, which is incorporated herein by this reference. In using this Web Site, you are prohibited from modifying, distributing, transmitting, reproducing, publishing, licensing, transferring, or selling any information, products or services obtained or viewed on this Web Site. However, you may display, download, or print hard copies of any material contained on this Web Site for your own personal, non-commercial use as long as you do not modify the content or delete any copyright, trademark, or other proprietary notice. Any other use of the information contained on this Web Site is prohibited without our express written consent.

Payment Methods and Card Authorization

Pepfides LLC accepts payment by credit card, debit card, and ACH/e-Check. All prices and charges are in United States dollars. Payment must be authorized before Pepfides LLC accepts an order, and Pepfides LLC may refuse or cancel any order for any reason, including suspected fraud, a failed verification, or an unavailable product.

Card authorization. When you place an order by card, you authorize Pepfides LLC and its payment processor to charge the payment method you provide for the full order total, including products, shipping, and any applicable tax. For card orders, authorization and charge occur at the time you place the order. You represent that you are the authorized holder of the card, or are expressly permitted by the cardholder to use it, and that the billing name and address you provide match the card's records. An authorization may briefly appear as a pending hold on your account before it settles; if an order is refused or canceled, any hold is released by your issuing bank on its own timetable, which Pepfides LLC does not control.

Card data handling. Card numbers are collected and processed by our third-party, PCI-compliant payment processor. Pepfides LLC does not receive or store your full card number. We retain only limited payment metadata, such as the last four digits, the card brand, the authorization result, and the processor's transaction reference.

ACH timing. ACH/e-Check is a deferred payment method. Your order is placed when the debit is initiated, but funds take one to two (1–2) business days to settle, and Pepfides LLC does not ship an order until the funds have settled. If a debit is returned or fails for any reason, the order will not ship and may be canceled, and you remain responsible for any amount owed together with any fee Pepfides LLC incurs on the returned item.

Failed or reversed payment. If any payment is declined, returned, reversed, or otherwise fails after an order has been placed, Pepfides LLC may cancel the order, withhold shipment, suspend your account, and recover the amount owed together with any costs and fees incurred.

ACH Debit Authorization for Order Payment

Each time I (the customer) place an ACH/e-Check order by clicking the "Place Order" button, I am authorizing pepfides.com to initiate a single ACH/electronic debit to my account in the amount of my order from the bank account information provided on the date of my order. I agree that ACH transactions I authorize comply with all applicable law. Payments made after 2 PM Eastern time will be applied as of the next business day. To complete the payment process, click the "Place Order" button. Once payment is authorized, there cannot be any changes or corrections. It is recommended that you print a copy of this authorization and maintain it for your records.

ACH Debit/Credit Authorization for Micro-Entries Used for Account Validation

Each time I (the customer) place an ACH/e-Check order by clicking the "Place Order" button, I am authorizing pepfides.com to initiate a one-time ACH/electronic debit and/or credit entry to my account for a micro amount (less than $1) in order to validate my bank account information provided on the date of my order. I also authorize pepfides.com to initiate an ACH credit to recover the amount of a micro deposit. I agree that such ACH transactions comply with all applicable law. Once you click the "Place Order" button, you cannot revoke this authorization. Payments made after 2 PM Eastern time may receive account validation micro entries the next business day. It is recommended that you print a copy of this authorization and maintain it for your records.

Use of Information

pepfides.com reserves the right to correct any inaccuracies or typographical errors in the information posted on this Web Site, and shall have no liability for such errors. Information may be changed or updated without notice and prices and availability of goods and services are subject to change without notice.

Product and Sale Limitations

All products sold by Pepfides LLC are intended strictly for in-vitro laboratory and research use only. They are not drugs, supplements, or food, and are not for human or veterinary consumption, and are not intended to diagnose, treat, cure, or prevent any disease. The statements on this Web Site have not been evaluated by the U.S. Food and Drug Administration. Pepfides LLC is a chemical supplier and is not a compounding pharmacy under §503A, nor an outsourcing facility under §503B, of the Federal Food, Drug, and Cosmetic Act.

By purchasing, you represent and warrant that you are 21 years of age or older, that you are a qualified buyer purchasing solely for lawful laboratory or research purposes, and that the chemicals you purchase shall not be used for human therapeutic purposes. You agree to comply with all applicable laws and regulations governing the handling, storage, and use of research chemicals. Pepfides LLC reserves the right to request KYC verification and to refuse any order that does not meet buyer qualification.

Refund, Return, and Chargeback Policy

All sales are final. Because the products sold are research chemicals whose integrity, handling, and storage cannot be verified once they leave our custody, and for safety reasons, Pepfides LLC does not accept returns or exchanges and does not offer refunds once an order has been placed and payment has been authorized. By completing your purchase you acknowledge and agree that all sales are final.

The sole exception is an order that arrives visibly damaged, is materially incorrect, or is not delivered. To make a claim you must contact us at [email protected] within seven (7) days of delivery — or, for an order that is not delivered, within seven (7) days of the expected delivery date — and include your order number together with, where applicable, photographs of the damaged item and its packaging. Verified claims will be remedied by a replacement or, at Pepfides LLC's sole discretion, a refund of the purchase price. Claims submitted after this window cannot be honored.

Chargebacks and Payment Disputes

CONTACT US FIRST. If there is any problem with your order or with a charge — the order did not arrive, it arrived damaged, it is not what you ordered, or you do not recognize the charge — you must contact Pepfides LLC at [email protected] before disputing the charge with your bank or card issuer. We will work with you to resolve it. Nearly every dispute is something we can fix directly and faster than your bank can.

Each order is authorized by you at checkout, and we retain your order records, payment authorization, consent records, and delivery tracking. A chargeback or ACH dispute filed without first contacting us is a breach of these Terms. Pepfides LLC will contest such disputes using those records.

Consequence of a chargeback. If you initiate a chargeback or payment dispute, Pepfides LLC may permanently close your account and refuse to accept any future order from you, from any account you control, and at any address or payment method associated with you. This applies whether or not the dispute is ultimately decided in your favor, and it is in addition to — not instead of — our right to recover all amounts owed, including the disputed amount and any fees and costs we incur. Pepfides LLC is under no obligation to sell to any person, and a payment dispute filed instead of contacting us is a permanent end to the relationship.

Genuinely unauthorized transactions. If you believe your card or bank account was used by someone else without your permission, contact us immediately at [email protected] and also notify your bank. We will investigate in good faith and will not close the account of a verified fraud victim for reporting fraud they did not commit.

Product Quality, Certificates of Analysis, and Condition After Delivery

Pepfides LLC publishes a Certificate of Analysis ("COA") for the lot from which your product is filled. A COA reports the result of testing performed on a sample of that lot at the time of testing. It is a snapshot of that sample at that moment. It is not a warranty, guarantee, or representation of the condition, purity, potency, identity, sterility, or composition of the specific unit delivered to you at any later time, and it is not a representation that the product is fit for any particular purpose.

Pepfides LLC does not warrant that product quality, purity, potency, identity, or composition will remain unchanged after delivery. Once a product leaves our custody we have no control over how it is transported by the carrier, received, opened, stored, handled, reconstituted, diluted, aliquoted, combined with any other substance, or disposed of. You are solely responsible for the product's storage, handling, and condition from the moment of delivery, including observing appropriate storage temperature, protecting the product from light and moisture, avoiding repeated freeze-thaw cycles, and maintaining the aseptic technique and laboratory controls appropriate to your work.

Reconstitution, dilution, or any other alteration of a product is performed entirely at your own risk and by your own methods, and voids any claim relating to that unit's condition. You are responsible for independently verifying the identity, purity, and suitability of any product before use in your research, and for confirming that the lot and batch number on the unit you received matches the COA you are relying on.

Trade-Marks and Other Intellectual Property Rights

"pepfides.com" is a trademark of Pepfides LLC. All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on this Web Site is owned, controlled or licensed by or to Pepfides LLC and is protected by copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

Except as expressly provided in this Terms and Conditions of Use Agreement, no part of this Web Site and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way (including "mirroring") to any other computer, server, web site or other medium for publication or distribution or for any commercial enterprise, without Pepfides LLC's express prior written consent.

Indemnity

You hereby agree to indemnify and hold Pepfides LLC, and our subsidiaries, affiliates, officers, directors, agents, co-branders, partners, vendors (including payments providers), and employees harmless from any claim or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the content on this Web Site, or any content you submit, post, or transmit through this Web Site, your use of this Web Site, your connection to this Web Site, your violation of this Terms and Conditions of Use Agreement, or your violation of any rights of another.

Participation in that program is governed by its own Referral Partner Program Terms, which are in addition to — and not a replacement for — this Terms and Conditions of Use Agreement. Those terms contain provisions that do not appear here, including content and advertising restrictions, required FTC disclosures, commission and payout conditions, and an arbitration agreement with a class-action waiver. Dispute Resolution; Binding Arbitration; Class-Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

Informal resolution first. Before starting an arbitration, you agree to contact us at [email protected] with a short written description of the dispute, your order number, and the relief you want, and to give us sixty (60) days to resolve it. Most problems are resolved at this step. This requirement is a condition of starting arbitration, and it applies to us as well.

Binding arbitration. If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms, your order, the products, or this Web Site (a "Dispute") will be resolved exclusively by final and binding individual arbitration, administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, before a single arbitrator, seated in Houston, Texas, or conducted by telephone, video conference, or on written submissions at your election. The arbitrator has exclusive authority to decide the Dispute, including any question about whether this section applies or is enforceable. Judgment on the award may be entered by any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

CLASS-ACTION WAIVER. YOU AND PEPFIDES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS PROCEEDING. YOU AND PEPFIDES LLC EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY.

Exceptions. Either party may bring an individual claim in small-claims court if it qualifies and stays there. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property or other irreparable harm, without first arbitrating.

YOUR RIGHT TO OPT OUT. You may opt out of this arbitration and class-action waiver section within thirty (30) days of the date you first accept these Terms by emailing [email protected] with the subject line "Arbitration Opt-Out" and including your full name and the email address on your account. Opting out will not affect any other part of these Terms, and it will not affect your account, your pricing, or our willingness to sell to you. If you opt out, Disputes will be resolved in the courts identified in the Governing Law and Jurisdiction section below.

Severability of this section. If the class-action waiver above is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in the courts identified in the Governing Law and Jurisdiction section, and the remainder of this section will continue to apply to all other claims. If this section is otherwise found unenforceable in its entirety, Disputes will be resolved in those courts.

Survival. This section survives termination of these Terms and the closing of your account.

Governing Law and Jurisdiction

This Web Site (excluding linked sites, if any) is administered and controlled by Pepfides LLC and its affiliates, subsidiaries, officers, directors, employees or agents from its offices in accordance with the laws of the State of Texas. You agree that this Terms and Conditions of Use Agreement and this Web Site will be governed by and construed in accordance with the laws of the State of Texas without giving effect to any principles of conflicts of laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You access this Web Site and/or associated services of Pepfides LLC at your own risk and remain responsible for complying with the laws of the jurisdiction within which you are located.

To the extent any Dispute is not subject to arbitration — because you opted out under the section above, because it qualifies for small-claims court, because it seeks injunctive relief for intellectual property, or because the arbitration section is held unenforceable — you and Pepfides LLC agree that the exclusive venue is the state and federal courts located in Harris County, Texas, and you irrevocably consent to personal jurisdiction in those courts and waive any objection based on forum non conveniens.

Prices; Payment Terms; Interest

The prices for the products and services on this Web Site are quoted, for convenience, in United States dollars and shall be as set forth in this Web Site as at the time of acceptance of an order by Pepfides LLC. Prices for products shall be subject to change without any further notice. Credit terms are within Pepfides LLC's sole discretion, and unless otherwise specified in Pepfides LLC's invoice, payment must be received by Pepfides LLC prior to Pepfides LLC's acceptance of an order.

Consequences

Pepfides LLC reserves the right to suspend or terminate your account if you violate the Terms of Use Agreement. If your violation causes harm to others, you agree to indemnify and hold Pepfides LLC harmless from and against any and all loss, damage, or expense. Any dispute arising between us regarding this Agreement or your use of this Web Site is governed by the Dispute Resolution; Binding Arbitration; Class-Action Waiver section above, which requires informal resolution first and then individual arbitration.

Entire Agreement

These Terms and Conditions and any terms incorporated or referred to herein constitute the entire agreement between Pepfides LLC and you relating to your use of this Web Site and the subject matter hereof, and supersede any prior understandings or agreements (whether electronic, oral or written) regarding the subject matter, and may not be amended or modified except in writing, or by Pepfides LLC making such amendments or modifications in accordance with this Terms and Conditions of Use Agreement.

Severability

If any part of this Terms and Conditions of Use Agreement is deemed or determined to be unenforceable, then such part shall be eliminated or limited to the minimum extent necessary. The remainder of this Terms and Conditions of Use Agreement, including any revised portion, shall remain and be in full force and effect.

Headings

The headings contained in this Terms and Conditions of Use Agreement and the Pepfides LLC Privacy Policy are for reference only.

Force Majeure

Pepfides LLC shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, without limitation, delays due to backorders of requested products, mail delays, customs delays or lost shipments. Pepfides LLC shall not be responsible to notify the Customer in the event of such delays. The Customer shall be solely responsible to make other arrangements to purchase alternative products and any costs incurred in connection with such purchases.

Complete Agreement

Except as expressly provided in a particular "legal notice" on this Site, these Terms and Conditions constitute the entire agreement between you and this Site with respect to the use of this Site, and Content. By clicking "I agree" when placing your order, you agree with ALL OF OUR TERMS AND CONDITIONS as stated above as well as our Shipping and Refunds Policy.
